Terms and Conditions – Agreement
(In connection with Freelance Offer)

Following Terms and Conditions are agreed between ‘Freelance Content Providers’ (FCP) and ‘Wordsmith Communication’ (WC) for the On-line Publication Venture and the Freelancers having received the ‘Freelance Offer’:

1. I understand the Freelance Offer to be a project by project engagement and in no way a permanent position, regular employment, time bound contractual offer in any way. I also understand that this Offer in no way guarantees regular projects coming to me and is as and when required basis.

2. By submitting any content while being commissioned by a PO, I undertake this to be my original work and any copyright violation / infringement arising out of my work will not be responsibility of WC.

3. WC would consider, in good faith all content provided by you for publication as free of all encumbrances in terms of copyright, patent, Intellectual Property Acts and other applicable statutes.

4. By submitting content to WC, I also agree to editorial amendments / edit, if needed and being done through a consultative manner.

5. All applicable tax, government levies, duties, surcharges will be my responsibility while payment is being received from WC for projects completed.

6. WC would try to be as detailed and clear in advising project specification /guidelines in the PO it is going to issue.

7. For any commissioned and published content of mine by WC, in case of reproduction / resell by me in future elsewhere, I would be bound to take written permission from WC.

8. WC would pay all projects for which PO had been issued irrespective of the content being published or not, for reasons whatsoever. Payment will be made within 21-30 days from the date of submission of content.

9. WC would not take any responsibility, per se – either for payment or for publication for any unsolicited content from FCP. Unsolicited content means that content for which no PO is being issued from WC and is submitted by FCP for consideration.

10. Ref 9 as above, we may formalize an unsolicited content, if found relevant and useful for publication by issuing a PO retrospectively after mutual agreement.
